General Terms & Conditions

IATF 16949, VDA, ASPICE, ISO 26262, ISO 21434 and other standards set the rules, while core tools – APQP, FMEA, SPC, MSA, Control Plan – provide the tools you need to conquer the automotive world. So, if you want to be a champion, make sure you’ve got your standards and core tools in place.

Terms & Conditions for Training Courses & Workshops (Online and Offline)

1. Introduction

  • These Terms and Conditions („Terms”) govern the use of our training course services and workshop services („Services”) provided by Ms Matter Ltd. („we,” „us,” or „our”). By enrolling in our courses, you („Customer” or „Participant”) agree to comply with and be bound by these Terms.
  • These Terms and Conditions („Terms”) govern the use of all types of our training course services and all types of our workshops („Services”).

2. Course Booking and Payment

  • Booking Confirmation: Course bookings are confirmed upon receipt of full payment. We reserve the right to refuse bookings if payment is not received.
  • Payment Terms: Payments must be made in full before the course start date unless otherwise agreed. Payment can be made via bank transfer, or other approved methods.
  • VAT and Taxes: All course fees are subject to applicable taxes at the prevailing rate.
  • Discounts and Promotions: Discounts, offers, and promotions are subject to specific terms and may not be combined unless explicitly stated.

3. Cancellation and Refund Policy

  • Cancellation by Participant: If you need to cancel your course booking, you must notify us in writing. Refunds will be made as follows:
    • More than 30 days before the course start date: Full refund minus a processing fee.
    • 15-30 days before the course start date: 50% refund.
    • Less than 15 days before the course start date: No refund.
    • Refunds for Online Services: Due to the nature of online on-demand courses, refunds are only available if the course has not been accessed. If you wish to request a refund, you must contact us within 14 days of purchase and before accessing the course materials.
    • Access Revocation of Online Services: Upon issuing a refund, we will revoke the Participant’s access to the course. No further access to course materials will be provided after a refund is processed.
  • Substitution Policy: Substitutions of participants are allowed at no additional cost, provided we are notified in writing at least 3 days before the course start date.
  • Cancellation by Us: We reserve the right to cancel or reschedule courses due to unforeseen circumstances. In such cases, participants will be offered an alternative date, course, or a full refund.

4. Course Content and Materials

  • Course Changes: We reserve the right to modify the course content, schedule, and instructors as necessary. Any changes will be communicated in advance when possible.
  • Intellectual Property: All course materials are the intellectual property of Ms Matter Ltd. and are provided for personal, non-commercial use only. Participants may not copy, distribute, or sell course materials without our prior written consent.
  • Access to Materials: Course materials and online access, if applicable, will be provided upon course commencement. Access to online materials is granted for a specific period and may not be available after course completion.
  • Intellectual Property of Online Services : All course materials, including but not limited to videos, presentations, quizzes, and downloadable resources, are the intellectual property of Ms Matter Ltd. Participants are granted a limited, non-exclusive, non-transferable license to use the materials for personal, non-commercial purposes only.
  • Prohibited Actions: Participants may not copy, reproduce, distribute, modify, or create derivative works from the course materials without our prior written consent. Unauthorized use of course content may result in legal action.
  • Course Updates: We reserve the right to update or modify the course content at any time. Participants will be notified of significant updates via the LMS or email.

5. Online Services Access and Delivery

  • Access to Courses: Upon purchase, Participants will be granted access to the online on-demand course materials for a specified period, as outlined during the purchase process. Access is granted on a per-user basis and is non-transferable.
  • Delivery Format: Online courses are delivered via our designated Learning Management System (LMS) or platform or other software. Participants will receive login details and instructions via email after purchase.
  • Technical Requirements: Participants are responsible for ensuring they have the necessary hardware, software, and internet connection to access and complete the online course. We are not responsible for any technical issues on the Participant’s side.
  • User Account and Security for Online Services – Account Creation: Participants are required to create an account on our LMS or platform or software to access the courses. Account details must be kept secure, and Participants are responsible for all activities under their account.
  • User Account and Security for Online Services – Account Sharing: Sharing account login details with others is strictly prohibited. Any breach of this term may result in immediate termination of access without a refund.

6. Offline Course Location and Logistics

  • Training Venue: Courses will be conducted at the venue specified at the time of booking. We reserve the right to change the location of the course at any time without liability or obligation to cover any additional costs incurred by participants. Any changes to the venue will be communicated in advance. Participants are responsible for their own travel, accommodation, and meal arrangements unless otherwise specified.
  • Start and End Times: The course will commence and conclude at the times specified in the course agenda. Participants are expected to arrive on time and stay for the entire duration of the course.
  • Special Requirements: Participants must notify us in advance of any special requirements, including dietary restrictions, mobility needs, or other accommodations. We will make reasonable efforts to accommodate these needs.

7. Participant Conduct

  • Behavior: Participants are expected to behave professionally and respectfully at all times during the course. We reserve the right to remove participants who are disruptive, behaving in a disrespectful, insulting, exclusive, discriminatory manner, or violate these Terms without refund.
  • Health and Safety: Participants must adhere to all health and safety guidelines provided during in-person courses. Any health concerns or requirements should be communicated to us in advance.
  • Compliance: Participants are required to comply with all health and safety regulations at the training venue. This includes, but is not limited to, fire safety procedures, emergency exits, and any COVID-19 protocols or any other health protocols in place.
  • Liability: We are not liable for any injury or damage to persons or property while attending the course, except where caused by our negligence.

8. Completion and Certification

  • Course Completion: Participants must complete all required modules and assessments, pass all tests to receive a certificate of completion, where applicable. Certificates are provided electronically upon successful completion of the course.
  • Certificate Validity: Certificates issued are for personal use and signify the completion of the course. They do not constitute formal accreditation or endorsement unless explicitly stated.

9. Limitation of Liability

  • Course Outcomes: We aim to provide high-quality training; however, we do not guarantee specific outcomes or results from participation in our courses.
  • Liability: To the fullest extent permitted by law, Ms Matter Ltd. will not be liable for any direct, indirect, incidental, or consequential damages arising from or in connection with the course services.
  • Insurance: Participants are advised to arrange appropriate insurance coverage for travel, accommodation, and personal belongings, as we are not liable for any loss or damage.

10. Data Protection and Privacy

  • Personal Data: We will collect and process personal data in accordance with our Privacy Policy. By enrolling in our courses, you consent to the use of your personal data for the purposes of course administration and communication.
  • Confidentiality: We will treat all information shared by participants during the course as confidential and will not disclose it to third parties without consent, except as required by law.

11. Recording and Redistribution

  • Recording and Redistribution: Unauthorized recording, reproduction, or distribution of the course content or live sessions is prohibited. Any violation may result in termination of access without a refund and potential legal action.

12. Force Majeure

  • We are not liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of terrorism, strikes, wars, or other events of force majeure.

13. Governing Law and Jurisdiction

  • These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments and Updates

  • We reserve the right to amend these Terms at any time. Any changes will be posted on our website and will take effect immediately. Participants are advised to review the Terms periodically for updates.

Terms & Conditions For Mentoring Programs (Online and Offline)

1. Introduction

  • These Terms and Conditions („Terms”) govern the provision and participation in our mentoring programs („Services”) provided by Ms Matter Ltd. („we,” „us,” or „our”). These programs may be conducted online or offline. By enrolling in our mentoring programs, you („Mentee,” „Participant,” or „Client”) agree to comply with and be bound by these Terms.

2. Program Enrollment and Payment

  • Enrollment Confirmation: Enrollment in a mentoring program is confirmed upon receipt of full payment or a purchase order, as per the agreed terms. We reserve the right to refuse or cancel enrollment if payment is not received in full before the start of the program.
  • Payment Terms: Payments must be made in full before the commencement of the mentoring program unless otherwise agreed upon in writing. Payment can be made via credit card, bank transfer, or other approved methods.
  • Taxes: All program fees are subject to applicable taxes at the prevailing rate.
  • Discounts and Promotions: Discounts, offers, and promotions are subject to specific terms and may not be combined unless explicitly stated.

3. Program Structure and Delivery

  • Format: The mentoring program may be conducted either online or offline. The format and schedule of sessions will be agreed upon prior to the start of the program and outlined in the program materials.
  • Online Sessions: For online mentoring, sessions will be conducted via our designated online platform or communication tool. Participants are responsible for ensuring they have the necessary hardware, software, and internet connection to participate in online sessions.
  • Offline Sessions: For in-person mentoring, sessions will be held at a mutually agreed-upon location. Participants are responsible for their own travel, accommodation, and meal expenses unless otherwise specified.
  • Tailored Program Policy: Our mentoring programs are customized and dedicated to meet the individual needs of each participant. Due to the tailored nature of these programs, cancellations and refunds are not permitted once the program has been booked and payment has been received.
  • Non-Refundable: All payments made for the mentoring program are final and non-refundable, regardless of attendance or participation in scheduled sessions.
  • Session Rescheduling and Cancellations: While refunds are not available, participants may request to reschedule sessions within the duration of the program, subject to the mentor’s availability and provided that the request is made with at least 24 hours’ notice. Failure to provide sufficient notice may result in the session being forfeited.

4. Mentoring Relationship and Responsibilities

  • Role of the Mentor: The mentor will provide guidance, support, and advice based on their experience and expertise. However, the mentor does not guarantee specific outcomes or results.
  • Role of the Mentee: The mentee is responsible for actively participating in sessions, completing any agreed-upon tasks or assignments, and being open to feedback and guidance.
  • Confidentiality: Both parties agree to maintain the confidentiality of all discussions and materials shared during the mentoring program. Information will not be disclosed to third parties without prior consent, except as required by law.

5. Program Materials and Intellectual Property

  • Program Materials: Any materials provided as part of the mentoring program are for the personal use of the mentee and are the intellectual property of Ms Matter Ltd. Participants may not copy, distribute, or sell program materials without our prior written consent.
  • Recordings and Notes: Recording of sessions is not permitted without prior consent from both the mentor and mentee. Any notes taken during sessions are for personal use only.

    6. Commitment and Code of Conduct

    • Commitment: The success of the mentoring program depends on the commitment of both parties. Both the mentor and mentee agree to be punctual, prepared, and engaged during each session.
    • Code of Conduct: Participants are expected to behave professionally and respectfully at all times during sessions. Disruptive, behaving in a disrespectful, insulting, exclusive, discriminatory manner, or violate these Terms may result in termination of the mentoring relationship without refund.

    7. Limitation of Liability

    • No Guarantee of Outcomes: We aim to provide high-quality mentoring; however, we do not guarantee specific outcomes or results from participation in our programs. The guidance provided is based on the mentor’s experience and expertise and should not be considered as professional advice.
